Managed Domain & DNS Addendum
This Managed Domain & DNS Addendum (“Addendum”) forms part of the NovAlign Digital Master Terms & Conditions and applies to domain registration, renewal, transfer, DNS management, and related services. Capitalized terms not defined here have the meanings given in the Master Terms.
1. Scope of Domain Services
NovAlign Digital will provide the domain and DNS services described in the applicable Scope. Additional work may be quoted separately or declined.
2. Managed Domain Requirement
Domains supporting managed website or email services must remain under NovAlign Digital management during the active service relationship unless agreed otherwise in writing. This supports DNS, SSL, email authentication, integrations, and continuity.
3. Domain Ownership & Registrant Information
Domain ownership remains with the Client, subject to payment and compliance with the Agreement. Management does not transfer rights in the Client’s business, brand, or domain name. The Client must provide and maintain accurate registrant and contact information and respond to registrar verification requests.
4. Registration & Acquisition
Where included, NovAlign Digital will register one approved available domain for the stated term. Availability is not guaranteed until registration completes. Premium, auction, brokered, aftermarket, or third-party-owned domains are excluded unless stated in writing.
5. Existing Domain Transfers
The Client will reasonably cooperate with transfer requirements, including unlocking the domain, providing authorization codes, approving communications, and completing identity or registrar steps. Transfers may be delayed by registrar rules, verification, expiration status, disputes, or transfer locks, including locks commonly imposed after registration or registrant changes.
6. DNS Management
NovAlign Digital may configure and maintain records necessary for websites, SSL, email, SPF, DKIM, DMARC, verification, redirects, analytics, and integrations. Clients must not modify registrar, nameserver, or DNS settings without written coordination.
7. Client or Third-Party Changes
NovAlign Digital is not responsible for downtime, failed delivery, lost configuration, or other harm caused by uncoordinated Client or third-party changes. Corrective work may be quoted separately.
8. Renewals
Managed domain renewals must be processed through NovAlign Digital unless agreed otherwise. Failure to pay or cooperate may cause expiration, website or email interruption, redemption fees, auction, resale, or permanent loss. Renewal dates can change following transfers or registrar processing.
9. Expiration, Redemption & Recovery
Recovery of an expired or deleted domain is not guaranteed. The Client is responsible for redemption, restoration, transfer, renewal, or third-party recovery charges.
10. Privacy & Verification
Domain privacy may be enabled where supported. Availability depends on the extension, registrar, registry, law, and verification requirements. Privacy services do not eliminate lawful disclosure obligations.
11. Domain Offboarding
After termination or non-renewal and full payment, NovAlign Digital will reasonably cooperate with a written transfer request, including unlocking the domain and providing an authorization code when available. The Client is responsible for initiating the receiving transfer and paying receiving-provider costs.
12. Transfer Timing
Requests should be made before the active paid term ends and sufficiently before expiration. Transfers may be unavailable or delayed because of unpaid balances, expiration, redemption, disputes, registrar restrictions, identity verification, or mandatory transfer locks.
13. Non-Transferable Services
A domain transfer does not include NovAlign Digital hosting, email, DNS strategy, proprietary configuration, dashboards, automation, or third-party accounts. After transfer, the Client or receiving provider assumes responsibility for DNS, renewals, connectivity, SSL, and email authentication.
14. Third-Party Policies
Registrar and registry rules, outages, pricing, restrictions, and verification requirements are outside NovAlign Digital’s control.
15. Related Addenda
Website services are governed by the Website Services Addendum. Email services are governed by the Email Services Addendum.
16. Governing Terms
This Addendum is incorporated into the Master Terms. For domain and DNS conflicts, this Addendum controls, subject to the order-of-precedence provision in the Master Terms.
