Website Services Addendum
This Website Services Addendum (“Addendum”) forms part of the NovAlign Digital Master Terms & Conditions and applies to website projects, website plans, Website Care Plans, website enhancements, hosting, and related website services. Capitalized terms not defined here have the meanings given in the Master Terms. The applicable invoice, proposal, onboarding documentation, or service description defines the purchased scope (the “Scope”).
1. Scope of Website Services
NovAlign Digital will provide the services expressly described in the Scope. Requests not included in the Scope may be quoted separately or declined. No prototype, concept screen, demonstration, unused feature, internal tool, or third-party platform capability expands the Scope unless expressly included in writing.
2. Client Responsibilities
The Client will provide complete and accurate information, content, media, access, approvals, and consolidated feedback. The Client confirms it has the rights and authority necessary for all provided materials and instructions.
3. Client Content
Unless included in the Scope, professional copywriting, original content creation, photography, and videography are not included. NovAlign Digital may organize, resize, optimize, and format Client-provided materials as reasonably necessary to deliver the Scope.
4. Project Timelines
Estimated timelines begin after required materials, access, and approvals are received. Client delay, changed instructions, third-party delays, or expanded requests may change delivery dates. A project inactive because of Client non-responsiveness for 30 consecutive days may be placed on hold and rescheduled based on availability.
5. Review, Revisions & Approval
Unless otherwise stated, NovAlign Digital will complete reasonable pre-launch revisions necessary to bring the included design, content, and functionality into alignment with the approved Scope. This does not include new pages, new functionality, major redesign, a new creative direction, professional copywriting, or other scope expansion. Requests outside the approved Scope require separate written approval and may affect pricing and timing.
6. Completion & Launch
A website is complete upon Client approval and public launch, or when NovAlign Digital provides written notice that the agreed launch-ready deliverables are complete if launch is delayed solely by the Client. Post-launch work is governed by the applicable care plan or separately approved Scope.
7. Managed Website Services
Managed services may include hosting, SSL management, security and performance monitoring, technical maintenance, backups, dashboard access, domain continuity, and an included maintenance bank, as specified in the purchased plan. Monitoring and backups reduce risk but do not guarantee uninterrupted service or recovery of every version or item.
The recurring-service activation date and due date are governed by the applicable proposal, invoice, order, or activation notice. Client delay, missing materials, changed instructions, or delayed publication does not postpone an expressly stated activation date when NovAlign Digital has completed the agreed Scope or only Client-controlled items prevent completion or publication. If activation is delayed solely because NovAlign Digital has not completed the agreed Scope, recurring website-care billing begins only as stated in the applicable Scope or after completion.
8. Platform Selection
NovAlign Digital may select or change technologies, hosting, development platforms, content-management systems, implementation methods, and supporting tools to maintain security, compatibility, quality, and operational efficiency, provided the change does not materially remove an expressly purchased outcome without an agreed alternative.
9. Administrative Access & Authorized Interfaces
Administrative access to hosting, source code, deployment systems, databases, technical configuration, content-management systems, custom dashboards, or proprietary interfaces is not included unless expressly stated in the Scope or later confirmed in writing.
When Client dashboard or administrative access is expressly included, access is limited to the authorized interface, role, fields, and workflows provided by NovAlign Digital. It does not include infrastructure, secrets, source environments, deployment controls, unrestricted database access, proprietary automation, or ownership of the dashboard. NovAlign Digital may restrict or suspend access to address security, non-payment, misuse, or service integrity. Authorized dashboard use during an active service term does not create a right to transfer, export, sublicense, or retain the proprietary interface after termination.
10. Client-Initiated Changes
The Client must not make or direct uncoordinated changes to managed systems. NovAlign Digital is not responsible for resulting downtime, data loss, security issues, or integration failures. Corrective work may be quoted separately.
11. Defects & Corrections
For 30 calendar days after launch, NovAlign Digital will correct verified defects directly caused by the original implementation at no additional charge. This does not cover new requests, scope expansion, third-party changes, Client changes, content inaccuracies, or conditions outside NovAlign Digital’s reasonable control.
12. Website Care Plans
Care Plans provide only the services and allowances identified in the purchased plan. Unless stated otherwise, unused allowances do not carry forward. Redesigns, additional pages, expanded functionality, and work outside the plan may be quoted separately.
13. Analytics, Integrations & Third-Party Services
Analytics and integrations are limited to the configuration described in the Scope. The Client is responsible for providing necessary accounts, access, consent decisions, and lawful privacy disclosures. Analytics accuracy, attribution, data availability, and third-party reporting are not guaranteed. Third-party terms and platform limits apply.
14. Ownership & Intellectual Property
The Client owns Client-provided content. Upon full payment, ownership of specifically purchased final deliverables transfers as stated in the Scope, subject to third-party rights. NovAlign Digital retains its reusable code, templates, systems, workflows, automation, development methods, proprietary dashboards, and internal tools.
15. Offboarding & Transition Assistance
After termination or non-renewal and full payment, NovAlign Digital will reasonably cooperate in returning reasonably available Client-owned content. No universal website, source-code, database, platform, or configuration export is guaranteed unless included in the Scope.
Transition excludes proprietary systems, custom dashboards, internal automation, infrastructure, deployment systems, licenses paid by NovAlign Digital, and non-transferable platform configurations. Additional migration or reconstruction work may be quoted separately.
16. File Retention & Recovery
Website files and project materials may be retained for 30 calendar days after termination, cancellation, or non-renewal unless law or a written agreement requires otherwise. They may then be permanently deleted. Recovery is not guaranteed and may be quoted separately.
17. Portfolio & Attribution
Unless otherwise agreed before commencement, NovAlign Digital may display completed websites and reasonable excerpts for portfolio, marketing, educational, and promotional purposes, subject to confidentiality obligations. A discreet footer attribution may be included and removed on request at no additional charge.
18. Third-Party Platforms
Third-party platform availability, policies, pricing, features, and compatibility may change. NovAlign Digital is not responsible for third-party failures outside its reasonable control.
19. Related Addenda
Domain and DNS services are governed by the Managed Domain & DNS Addendum. Email services are governed by the Email Services Addendum.
20. Governing Terms
This Addendum is incorporated into the Master Terms. For website-service conflicts, this Addendum controls, subject to the order-of-precedence provision in the Master Terms.
