Email Services Addendum
This Email Services Addendum (“Addendum”) forms part of the NovAlign Digital Master Terms & Conditions and applies to professional email, mailbox hosting, setup, migration, renewal, administration, and related services. Email may be standalone or included in a managed website plan. Capitalized terms not defined here have the meanings given in the Master Terms.
1. Scope of Email Services
NovAlign Digital will provide only the email services described in the applicable Scope. Additional services may be quoted separately or declined.
2. Managed Email Services
NovAlign Digital manages technical configuration, authentication, licensing, and administration for managed email. Mailbox quantity, storage, retention, and included support are governed by the purchased plan and provider limits.
3. Mailbox Setup
Setup may include mailbox creation, SPF/DKIM/DMARC where applicable, DNS verification, basic device connection assistance, and testing. Advanced device support, third-party applications, archival, compliance configuration, or training may be quoted separately.
4. Migrations
Migrations are limited to the Scope. Timing and results depend on the originating and receiving platforms, credentials, formats, throttling, permissions, and available data. NovAlign Digital does not guarantee migration of every message, folder, contact, calendar, attachment, rule, label, permission, or historical item. The Client should preserve any independently required backup before migration where reasonably possible.
5. Client Responsibilities
The Client will provide credentials, authorization, approvals, access, timely responses, accurate mailbox mappings, and secure end-user cooperation. The Client must promptly change temporary passwords, enable available multifactor authentication, and report suspected compromise.
6. DNS & Authentication
NovAlign Digital may maintain MX, SPF, DKIM, DMARC, verification, and related records. Uncoordinated changes can interrupt delivery or authentication.
7. Client-Initiated Changes
NovAlign Digital is not responsible for issues caused by unauthorized changes to forwarding, passwords, DNS, authentication, administrator settings, or third-party configurations. Corrective work may be quoted separately.
8. Providers & Deliverability
Email relies on third-party providers. Outages, spam filtering, reputation systems, storage limits, policy changes, and security controls are outside NovAlign Digital’s control. Industry-standard configuration improves but cannot guarantee delivery or inbox placement.
9. Mailbox Administration & Licensing
Licenses remain active only while services are active and paid. Administration of mailboxes provisioned under NovAlign Digital’s managed infrastructure remains with NovAlign Digital. Users receive only the access authorized for their role and mailbox.
10. Exports & Offboarding
Exports are not automatic. The Client must request desired export assistance in writing before the active paid term ends. Availability, format, completeness, compatibility, and timing depend on the provider. Export or migration assistance beyond the purchased Scope may be quoted separately.
11. Termination, Retention & Recovery
After cancellation, termination, or non-renewal, access may be suspended or removed and data may be permanently deleted under provider policies. Retention and recovery are not guaranteed. Any available recovery may be quoted separately.
12. Security & Acceptable Use
The Client and users must protect credentials, use reasonable password practices and available multifactor authentication, and avoid unlawful, abusive, deceptive, spam, malware, or high-risk activity. NovAlign Digital may suspend affected access to protect systems, users, deliverability, or third parties.
13. Related Addenda
Website services are governed by the Website Services Addendum. Domain and DNS services are governed by the Managed Domain & DNS Addendum.
14. Governing Terms
This Addendum is incorporated into the Master Terms. For email-service conflicts, this Addendum controls, subject to the order-of-precedence provision in the Master Terms.
